1. Acceptance of Terms

By accessing the Just Ask AVA websites (justaskava.ai and justaskava.com) or engaging our services, you agree to these Terms of Service. If you do not agree, please do not use our website or services.

2. Eligibility

You must be at least 18 years old and authorized to enter into agreements on behalf of yourself or the business you represent.

3. Description of Services

Just Ask AVA provides managed remote executive assistant services through three monthly support levels: Administrative Support, Delivery Support, and Marketing Support. Engagements begin with a Free Delegation Audit, a 20-minute discovery call to determine fit and scope.

Service scope, hours, and deliverables for each support level are described on our website and confirmed in your engagement agreement. Just Ask AVA reserves the right to update offerings, pricing, and scope from time to time.

4. Engagement, Billing, and Cancellation

• Monthly support levels are billed in advance on a recurring basis.
• Fees are non-refundable except where required by law or expressly stated in your engagement agreement.
• You may cancel your engagement with written notice as set forth in your engagement agreement (typically 30 days).
• Late or failed payments may result in suspension or termination of services.

5. Client Responsibilities

• Provide timely access to tools, accounts, and information required to perform the services.
• Ensure all credentials and access shared with Just Ask AVA are authorized for delegation.
• Use our services lawfully and not for any purpose that violates applicable laws or third-party rights.
• Communicate priorities, feedback, and changes through agreed channels.

6. Confidentiality and Data Handling

Just Ask AVA treats client information, credentials, and business data as confidential and uses it only to perform the agreed services. Our handling of personal data is further described in our Privacy Policy.

7. Acceptable Use

You agree not to use Just Ask AVA services for unlawful activity, harassment, fraud, infringement of intellectual property, distribution of malware, or any activity that could harm our team, other clients, or third parties. Just Ask AVA may decline or terminate work that falls outside acceptable use.

8. Intellectual Property

Work product created specifically for a client under an engagement belongs to the client upon full payment, except for pre-existing Just Ask AVA methodologies, templates, branding, and proprietary materials, which remain the property of Just Ask AVA. The Just Ask AVA name, logo, and website content are protected by applicable intellectual property laws.

9. Disclaimers

Services are provided on an "as is" and "as available" basis. Just Ask AVA does not guarantee specific business outcomes, including revenue, leads, hires, or marketing results. Our support is an operational layer, not a substitute for legal, tax, financial, or strategic advice.

10. Limitation of Liability

To the maximum extent permitted by law, Just Ask AVA's total liability arising out of or relating to the services will not exceed the fees paid by you to Just Ask AVA in the three months preceding the event giving rise to the claim. Just Ask AVA is not liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Just Ask AVA, its team, and contractors from any claims, damages, or expenses arising from your misuse of the services, breach of these Terms, or violation of any law or third-party right.

12. Governing Law

These Terms are governed by the laws of the United States and the state in which Just Ask AVA is principally located, without regard to conflict of laws principles. Any disputes will be resolved in the courts of that jurisdiction unless otherwise agreed.

13. Changes to These Terms

We may update these Terms from time to time. Updates will be reflected by a new Effective Date. Continued use of our services after an update constitutes acceptance of the revised Terms.
